Managing a Cap Table From Equity Records to Reconciliation
Manage a cap table by assigning one accountable owner, working from signed supporting records, recording every approved equity event, and verifying ownership against clearly labeled denominators. Keep proposed transactions separate from completed events, restrict access by role, and investigate any discrepancy before relying on the affected figures.
Overview
A reliable cap table is not just a list of names and percentages. Each entry should trace to the instrument, approval, or transaction record behind it. Every update should also produce an observable result: the affected share count changes correctly, the applicable denominator reconciles, and ownership percentages total 100%, subject to disclosed rounding.
The cap table is the operating record of the company’s ownership. Entering a number does not replace completing and documenting the underlying equity action. A practical workflow therefore moves from source documents to an entry, calculation, reconciliation, and dated record of the change.
That distinction matters most during hiring and fundraising. Current ownership, fully diluted ownership, and a proposed post-financing scenario answer different questions. Mixing them can make a correct number appear wrong, or make a hypothetical issuance look completed. The process below keeps those views separate while preserving a traceable transaction history.
Before you begin: gather the records and fields you need
Start with the records that document how the company’s equity was authorized, issued, granted, transferred, cancelled, or made convertible. Carta recommends gathering current ownership information and supporting legal documents before creating or updating the cap table.
The exact documents vary with the company, its entity type, and the instruments it has used. A practical collection normally includes:
- The company’s charter, certificate, articles, or equivalent governing record, including amendments relevant to authorized shares or security classes.
- Stock purchase, issuance, transfer, repurchase, forfeiture, and cancellation documents, along with certificates where the company uses them.
- The equity incentive plan, grant notices, option or other award agreements, exercise records, and vesting terms.
- Executed SAFEs, convertible notes, warrants, side letters, and documents recording conversions or exercises.
- Board and stockholder consents or other approvals associated with the relevant transactions.
- Financing documents, closing records, existing cap-table exports, and the historical transaction log.
Create a consistent field structure before entering the data. For shares, that can include the holder, security class, number of shares, issue date, issue price, vesting terms, and the associated approval. For an option, record the grantee, grant amount, grant date, exercise price, vesting schedule, exercises, and cancellations. For a SAFE or convertible note, record the holder, principal or purchase amount, valuation cap, discount, conversion trigger, and other terms needed to model the instrument according to its executed language.
The table should also distinguish authorized shares from issued shares. Authorized shares describe the company’s permitted capacity under its governing records. Issued-and-outstanding shares are the shares actually included in the current ownership denominator.
Do not fill an incomplete field from memory merely to make the table look finished. Mark the item as unresolved, identify the missing or conflicting record, and keep it out of any ownership calculation that would present an unsupported result as settled.
The prerequisite stage is complete when the documents are stored in a controlled location, each instrument type has defined fields, and missing records are visible. You should be able to move from a cap-table row to the document or approval that explains why the row exists.
Step 1: Assign an owner and choose one system of record
Name one person who is accountable for the cap table, even if lawyers, finance staff, or a software provider perform parts of the work. LTSE recommends determining and delegating ownership of the cap-table process, while legal support can help translate agreements into the correct entries and formulas.
At inception, the accountable owner may be a founder or operations lead. Responsibility may later move to a finance or legal team as the company grows. That transition should be explicit: one person remains responsible for ensuring that updates happen, supporting documents are attached or referenced, and unresolved discrepancies are escalated.
Designate one current record. Multiple working copies in email, shared drives, and personal spreadsheets create ambiguity about which version should be used. Carta describes this fragmentation as a source of cap-table errors and diligence problems.
For a spreadsheet, define the file owner, editing permissions, file-naming convention, backup location, and version history. Protect formula cells and structural tabs from accidental edits. Use consistent holder names, security labels, and dates so that the same person or instrument cannot appear under several variations.
For software, define the primary administrator, who can create or modify securities, and who can only view or export information. Software does not remove the need for ownership of the process. Someone must still confirm that each entry matches the underlying event.
This step is complete when one named person is accountable and one dated record is designated as current. A team member should not have to compare several files to determine which ownership figures the company is using.
Decide whether a spreadsheet is still sufficient
Choose the tool according to ownership complexity and control risk, not an assumed funding-round threshold. Stripe describes spreadsheets as a flexible option for newer companies with simple ownership structures, while Carta notes that formula and version-control risks increase as transactions accumulate.

Dedicated software can centralize access, automate common workflows, and support scenario modeling. It may also cost more and offer less flexibility for unusual analyses, as Breaking Into Wall Street notes in its cap-table tutorial.
Whatever tool you choose, test the operating controls. Confirm that formulas recalculate after a test change, duplicate holders are detectable, unauthorized users cannot edit structural fields, and an earlier version can be recovered. If the team cannot perform those checks reliably, the tool is no longer sufficient for the process.
Step 2: Reconstruct and verify the starting cap table
Build the starting cap table transaction by transaction from the records you gathered. The result should be a dated baseline in which every line either has a traceable source or carries a visible unresolved status.
Start with the earliest ownership events and move forward chronologically. Enter the initial issuances, then subsequent grants, financings, exercises, transfers, cancellations, repurchases, and conversions. This preserves the chain of changes rather than presenting only the latest balance.
For each entry:
- Identify the holder and use one consistent legal name or internal identifier.
- Record the security or instrument type, relevant class, quantity, date, price, and applicable terms.
- Link or reference the executed instrument and associated approval.
- Record later changes without erasing the original transaction.
- Recalculate the affected totals and compare them with the supporting records.
Separate transaction history from the current summary. A cancelled option, transferred shareholding, or converted instrument may no longer contribute to the current denominator, but its historical entry still explains how the current balance arose.
Reconcile totals at several levels. Confirm that individual transactions add to each holder’s current balance, holder balances add to each security class, and class totals add to the applicable company total. Compare the result with stock certificates, grant records, financing documents, approvals, and previous dated exports where those records exist.
Check the company’s authorized amount separately from its issued amount. A mismatch may indicate a data-entry problem, an omitted amendment, or an issue requiring legal review. Do not resolve it by changing the cap table until the relevant records have been examined.
Treat unsupported entries as open items. Record what is uncertain, such as the number of shares, transaction date, vesting start date, or approval status. Preserve the source that produced the questionable entry. If two records conflict, keep both available and route the matter through the discrepancy process rather than selecting the more convenient figure.
The baseline is complete when the current totals reconcile internally, each included line has supporting documentation, and every unresolved item is clearly marked. Save a dated snapshot so future changes can be compared with a known starting point.
Step 3: Process every equity-changing event from its source documents
Update the cap table whenever a completed or approved event changes a holder, security, instrument term, or ownership denominator. Carta recommends recording issuances, grants, and transfers immediately after they occur, then reconciling the updated data with the supporting records.
Typical update triggers include:
- Stock issuances, grants, and option exercises.
- Transfers, repurchases, forfeitures, and cancellations.
- SAFE, note, or warrant issuances and conversions.
- New financing rounds and additional closings.
- Option-pool or authorized-share changes.
- Vesting or termination events when they alter the information the company tracks.
Begin with the completed or approved documentation for the event. An unsigned draft, unaccepted proposal, or negotiation model belongs outside the actual cap table. If the event requires an approval, use the company’s actual approval record rather than assuming that an informal agreement completed the action.
Update every affected field. A grant may require the grantee, amount, exercise price, grant date, vesting schedule, and plan allocation. An exercise changes both the option balance and issued-share balance. A cancellation reduces the relevant outstanding award balance. A financing may add a new security class, new holders, a new price per share, and converted instruments.
Then update the correct denominator. An option grant can change the fully diluted view without changing issued-and-outstanding shares. An exercise can reduce unexercised options while increasing issued shares. If the same number appears in both views after an event, confirm that this is the actual result rather than a formula copied across columns.
Attach or reference the source documents and log the date of the cap-table update. The transaction log should identify what changed, who made the change, and which record supports it. This creates a reviewable trail if a later financing, audit, or correction raises questions.
Recalculate percentages only after confirming the new share totals. Stripe’s cap-table guidance describes the basic sequence for a new issuance: add the new shares to total outstanding shares, then calculate each holder’s ownership using the new total. That procedure applies to a straightforward share issuance, but convertibles, pools, and other instruments must follow their own terms and denominators.
Finally, compare the resulting entry with the signed transaction records and the prior cap-table snapshot. If a closing statement says one number and the updated table produces another, stop and investigate. The event is not complete merely because a row has been added.
Use the same completion check for every event
Apply one repeatable check to each issuance, grant, exercise, transfer, cancellation, conversion, pool change, or financing:
1. Input: Confirm that the completed instrument, transaction record, and applicable approval are available.
2. Action: Enter the affected holder, security, quantity, date, price, terms, and source reference.
3. Resulting change: Confirm which balances and denominators should increase, decrease, or remain unchanged.
4. Source comparison: Reconcile the entry with the executed record, approval, and transaction history.
5. Completion result: Verify that affected totals calculate correctly, percentages reconcile to the labeled denominator, and the change appears in a dated log or snapshot.
If any of those checks fails, mark the update as unresolved. Preserve the attempted entry and its source records, but do not rely on the affected figures for grants, financing decisions, or stakeholder reporting until the discrepancy has been investigated.
Step 4: Calculate current and fully diluted ownership separately
Calculate issued-and-outstanding ownership and fully diluted ownership as separate views because they use different denominators. Label both clearly wherever percentages appear.
Issued-and-outstanding shares are the shares currently issued and held by shareholders. For this view:
Current ownership percentage = holder’s issued-and-outstanding shares ÷ total issued-and-outstanding shares
If a holder owns 1,000,000 issued shares and the company has 4,000,000 issued-and-outstanding shares, the current ownership calculation is 1,000,000 ÷ 4,000,000 = 25%.
Fully diluted ownership includes issued-and-outstanding shares plus the securities or reserves included under the stated fully diluted assumptions. Carta identifies unexercised options and outstanding convertibles as common components of a fully diluted view. The calculation is:
Fully diluted ownership percentage = holder’s fully diluted share count ÷ total fully diluted share count
A fully diluted numerator must be consistent with its denominator. If the denominator assumes an option pool and convertible instruments, the relevant holder or category rows must reflect those same assumptions. Breaking Into Wall Street describes fully diluted ownership as each group’s fully diluted shares divided by the company’s entire fully diluted share count.
Do not silently combine unexercised options with issued shares. An employee with an unexercised option may appear in the fully diluted view, while the current issued-and-outstanding view reflects only issued shares. Likewise, a SAFE or note may be recorded as an outstanding instrument before its precise conversion share count is known. Any modeled share equivalent must follow the instrument’s terms and carry an explicit assumption.
Check that each view totals 100%, allowing only for disclosed rounding. Also reconcile the share or share-equivalent rows to the denominator shown at the top of the view. A percentage total of 100% is not enough if the underlying denominator is mislabeled or omits an included instrument.
Keep current, fully diluted, and pro-forma views distinct
Each ownership view answers a different question. Maintaining them separately prevents a proposed financing or assumed conversion from being mistaken for a completed issuance.

A pro-forma cap table is a scenario, not a record of completed ownership. Date it, state its assumptions, and label it as proposed. If terms change, preserve or replace the scenario without changing the actual cap table.
Step 5: Model a proposed transaction without changing the actual cap table
Create a separate pro-forma copy when modeling a financing, option-pool increase, or conversion. The current cap table remains unchanged until the transaction closes and the completed events can be entered from their actual documents.
Begin from a dated and reconciled current or fully diluted view. State which one you are using. Then record the proposed pre-money valuation, investment amount, price per share, security terms, option-pool treatment, and conversion assumptions.
Apply the transaction in a defined order. Timing matters. The American Bar Association’s explanation of cap-table math notes that the timing of option-pool increases and SAFE or note conversions can affect valuation, investor share price, and founder dilution. If a pool increase occurs before the financing, existing holders may bear more of its dilution. If it occurs afterward, the dilution may be shared differently.
Run more than one scenario when the transaction order is unsettled. Compare the ownership of founders, employees, existing investors, convertible holders, and the new investor under each scenario. Also compare the post-transaction option pool and total share count, not only the headline valuation.
Keep the assumptions visible next to the result. A percentage without its denominator and transaction order is not enough to evaluate dilution. The model should show what converts, what remains outstanding, how the share price was calculated, and whether the pool is measured before or after the investment.
SAFEs and convertible notes require particular care. Their conversion depends on the executed terms, which can include valuation caps, discounts, conversion triggers, and other provisions. Do not apply a priced-round share-price formula to a SAFE or note unless that formula follows the instrument and transaction documents.
For context, Focal describes the financing it focuses on as a single event, typically $500K to $3M raised on a SAFE or convertible note with a valuation cap, intended to provide 18 to 24 months of runway toward a seed or Series A milestone. That is one reason a founder’s first-financing model may need instrument-specific conversion analysis rather than the simplified priced-round arithmetic below.
Once the financing closes, process each completed issuance, conversion, and pool change through the event workflow. Do not copy the entire pro-forma scenario into the actual cap table without reconciling it to the closing records.
Worked example: verify ownership before and after a financing
Assume a simplified priced equity round with no options, warrants, SAFEs, notes, pool increase, multiple closings, or transaction adjustments. The company has 10,000,000 issued-and-outstanding shares immediately before financing, a hypothetical $10,000,000 pre-money valuation, and a new $2,000,000 investment.
Under these assumptions, the pre-financing share price is the pre-money valuation divided by the existing shares. The new shares equal the investment divided by that share price. Stripe’s guidance supports adding new shares to the outstanding total and recalculating ownership, while the ABA explains the simplified relationship between investment, post-money valuation, and investor ownership.

The share check is 10,000,000 + 2,000,000 = 12,000,000. The ownership check is 83.33% + 16.67% = 100.00%, with percentages rounded to two decimal places.
A second check reaches the same investor result from valuation: $2,000,000 ÷ $12,000,000 = 16.67%. Agreement between the share calculation and the simplified post-money calculation helps verify the model under these assumptions.
This example cannot be reused as a general SAFE or convertible-note formula. Those instruments may convert according to valuation caps, discounts, defined capitalization terms, and transaction-specific provisions. Option-pool timing can also change the price per share and who bears the resulting dilution.
Step 6: Control who can view and edit cap-table information
Separate the right to edit the cap table from the right to view ownership information. Private-company cap tables contain confidential information, and Carta recommends controlled software access or encrypted sharing methods for authorized recipients.
Keep structural editing rights narrow. The accountable owner and specifically authorized administrators may need to create or modify entries. Other recipients may need a read-only view, a dated export, a summary, or information limited to their own holdings.
An investor may be able to complete internal ownership tracking from an appropriate cap-table summary rather than unrestricted access to every underlying record. LTSE identifies investor summaries as a standard sharing practice. Dedicated platforms may also support role-specific access, as Fidelity Private Shares describes for its software.
Determine access from the recipient’s purpose and the company’s actual obligations. A prospective investor conducting diligence has a different need from an employee reviewing an award. A lawyer investigating a disputed issuance may need source documents that would be unnecessary for a routine investor update.
Use a controlled delivery method. For software, assign named accounts and role-based permissions. For exported files, use an approved secure location, restrict downloads where the system permits it, and label the export with its date and ownership view. Avoid sending editable master files when the recipient needs only a snapshot.
This step is complete when edit rights are limited, each recipient receives only the information needed for the defined purpose, and the company can identify which version was shared.
Match the level of access to the recipient's purpose
The matrix below is an operating starting point, not a statement of any recipient’s legal entitlement. Exact rights depend on the company’s agreements, governing requirements, and the purpose of the request.

A summary can protect confidentiality without withholding information a recipient is entitled to receive. The company should define the recipient’s purpose first, then select the narrowest view that satisfies it.
Step 7: Investigate discrepancies without rewriting history
When the cap table conflicts with supporting records, preserve the current state before making changes. Then isolate the disputed entry, collect the related documents, and determine whether the problem is a data error or may involve a defective or disputed corporate act.
Use the following triage sequence:
1. Export and save a dated copy of the current cap table, including relevant transaction history.
2. Collect the executed instruments, amendments, certificates, plan records, grant documents, consents, and closing materials connected to the disputed item.
3. Compare the holder, security, quantity, date, price, vesting, conversion terms, and approval references line by line.
4. Describe the mismatch in a correction log without deleting the original entry or source.
5. Mark the affected figures as disputed and pause reliance on them where they could change a decision.
6. Involve qualified counsel when ownership is disputed, documentation or authorization is missing, or an issuance, transfer, cancellation, conversion, or other corporate act may be defective.
A clerical inconsistency may be straightforward to identify. Examples include inconsistent holder names, a transposed number, or a formula that omitted a row. Even then, preserve the old snapshot and record what was corrected, why, by whom, and from which source.
A potential legal defect requires a different response. Changing the spreadsheet does not establish that an issuance was authorized or that a transfer, cancellation, or conversion was legally effective. The valid correction process can depend on the entity type, jurisdiction, governing documents, executed terms, and current corporate authority.
That means the company should not choose a universal hierarchy among the cap table, stock ledger, certificate, approval, and executed instrument. Qualified counsel can determine which records and governing rules control the particular issue, and whether correction, ratification, replacement documentation, or another action is appropriate.
Do not overwrite historical entries to make the current total reconcile. Preserve the sequence: original record, identified mismatch, supporting analysis, authorized correction, and revised dated snapshot. If some figures remain usable, separate them from the disputed calculation. For example, an unresolved grant should not automatically invalidate unrelated, documented issuances. But any fully diluted percentage that depends on the grant may need to remain provisional until the issue is resolved.
The discrepancy process is complete when the company has either made a documented, authorized correction or created a clear escalation record for counsel. The updated table should retain a traceable connection to both the original entry and the records supporting the final treatment.
Step 8: Review the cap table regularly and before a financing
Combine event-driven updates with periodic reconciliation. Immediate updates prevent new events from accumulating, while a regular review catches formula drift, inconsistent labels, missing documents, and changes that were never entered.
A quarterly review is one practical baseline. Carta recommends reviewing and updating the cap table quarterly, while more active companies may need checks that match a higher volume of grants, exercises, convertibles, or transfers. The cadence should reflect how often the underlying records change.
Before a financing, perform a deeper reconciliation. Confirm that the designated current cap table agrees with executed instruments, relevant approvals, and the historical transaction log. Review current and fully diluted denominators, outstanding convertibles, option-pool treatment, and the assumptions in each financing scenario.
Use this whole-process test:
- Every included entry traces to a supporting instrument, transaction record, or approval.
- Issued-and-outstanding and fully diluted views use clearly labeled denominators.
- Share totals and ownership percentages reconcile, subject only to stated rounding.
- Pro-forma transactions remain separate from the actual cap table.
- Edit and view access match each recipient’s purpose.
- Discrepancies are resolved or visibly escalated rather than carried forward silently.
Save a dated export after the review. That snapshot becomes the baseline for the next event and gives the company a stable reference during financing discussions.
Once the cap table passes these checks, use the verified pro forma to decide how much equity to sell. Start from the capital requirement, valuation and instrument terms, then inspect the resulting dilution. Do not begin with a target ownership percentage and force the cap table to produce it.
