Build a Defensible Pre-Money Valuation Range

Determine a startup’s pre-money valuation by combining current, closely matched financing comparables with at least one valuation method suited to the company’s stage. Reconcile the different outputs into a defensible range, then model each candidate valuation against the proposed investment using a fully diluted cap table.

Overview

Pre-money valuation is the estimated or negotiated value assigned immediately before new capital enters the company. It is not a uniquely correct appraisal produced by one formula. As Finro explains, financing formulas connect valuation, investment, and ownership, but they do not determine what the startup should be worth.

A complete process has seven steps:

1. Separate valuation judgment from financing math.

2. Choose methods that fit the startup’s stage and available evidence.

3. Build a current, closely matched comparable set.

4. Calculate at least two valuation estimates.

5. Reconcile the estimates into a low, target, and high case.

6. Convert each candidate valuation into ownership and dilution.

7. Stress-test the target against runway, milestones, future financing, and the complete term package.

The output should be a dated valuation memo and scenario model. Every material input should have a source, an owner, or a clear assumption label. Weak inputs should widen the range or receive less weight, not be converted into false precision.

Before you start: gather the evidence and define the round

Start with four groups of inputs: company records, market evidence, financing terms, and cap-table data. The valuation will only be as defensible as the information underneath it.

Prepare a dated working file containing:

  • Company records: current income statements, balance sheets, cash-flow statements, revenue records, customer metrics, operating expenses, burn, cash balance, and an operating forecast with documented assumptions. LTSE recommends having current financial records and a detailed plan covering projected revenue and expenses before estimating pre-money value.
  • Pre-revenue evidence: product-development milestones, prototype or technical progress, customer discovery, pilots, signed commercial agreements, partnerships, intellectual property, team composition, and evidence of customer demand.
  • Market inputs: sector, geography, business model, target customer, competitive environment, relevant market conditions, and comparable financing transactions.
  • Financing inputs: proposed investment amount, financing type, currency, target investors, expected closing timing, and the milestones the capital is intended to fund.
  • Legal and entity context: incorporation jurisdiction and any structural facts that affect the securities being issued.
  • Cap-table inputs: current shares, options, the available and promised option pool, SAFEs, convertible notes, warrants, advisor equity, and any other right to acquire shares.
  • Risk record: technical, commercial, regulatory, hiring, concentration, financing, and execution risks that could materially affect the range.

The round itself must also be defined. A valuation for a small first financing cannot automatically be reused for another type of transaction, market, or financing instrument. Record whether you are modeling a priced equity round, a SAFE, a convertible note, or another structure before applying any formulas.

Your input file is ready when every material item is dated and tied to a record, external source, or responsible owner. Label forecasts and unverified items as assumptions. If an important input cannot be supported, identify which method or calculation it prevents and choose another route.

Document the valuation drivers you can prove

Build a short record that separates demonstrated performance from forecasts and founder assertions. This prevents an attractive narrative from quietly becoming a numerical assumption.

For a revenue-generating startup, the relevant record may include:

  • Revenue and recurring revenue
  • Growth
  • Gross margin
  • Customer retention
  • Burn rate
  • Runway

For an earlier-stage startup, the analysis may place more weight on product progress, customer demand, founder experience, technology, partnerships, market conditions, competition, and risk. These stage-specific distinctions are described in Finro’s overview of pre-money valuation.

For each driver, record the measurement date, source, and whether it is historical, current, contracted, or projected. A signed customer contract and a forecast customer are not equivalent. Neither are current recurring revenue and a total addressable market estimate.

When a driver is projected, show the underlying assumption and test how much the valuation changes if that assumption misses. The completed record should be short enough to audit but specific enough to explain every adjustment made later.

Step 1: Separate valuation judgment from financing math

First decide whether you are estimating a supportable company value or deriving an implied valuation from terms already proposed. The first task requires market and company judgment. The second is financing arithmetic.

Label every quoted figure as pre-money or post-money before calculating anything:

Post-money valuation = Pre-money valuation + New investment

Pre-money valuation = Post-money valuation − New investment

These formulas describe two points in the financing timeline. AngelList defines pre-money as the value before new outside investment and post-money as the value after the financing.

If the investment amount and post-round ownership are already known, derive the implied values as follows:

Post-money valuation = Investment amount ÷ Investor ownership percentage

Pre-money valuation = Implied post-money valuation − Investment amount

Suppose an investor proposes to invest $1 million for 20% of the company after the round. The implied post-money valuation is $1 million ÷ 20% = $5 million. The implied pre-money valuation is $5 million − $1 million = $4 million.

That calculation reveals the valuation embedded in the proposal. It does not establish that $4 million is reasonable. You still need stage-appropriate methods and market support to evaluate it.

Instrument type matters here. A valuation cap on a SAFE or convertible note is not automatically the same thing as the pre-money valuation negotiated in a priced equity round. The conversion outcome depends on the governing documents, including any discount, cap definition, capitalization definition, and interaction with other securities.

For example, Focal describes its first-financing model as a single financing event, typically $500,000 to $3 million on a SAFE or convertible note with a valuation cap rather than a priced round. That is a company-specific structure, not a general market benchmark. It also means priced-round ownership math should not be substituted for the actual conversion provisions.

This step is complete when the instrument, investment amount, and every valuation or ownership figure are clearly labeled. If the documents leave the capitalization or conversion basis unclear, pause the calculation and have the terms reviewed before treating any percentage as final.

Step 2: Choose methods that fit your stage and evidence

Select a primary valuation method and at least one independent cross-check. Stage, data quality, sector conditions, and access to current comparables should drive the choice, not the method that produces the highest number.

  • Startup situation: Pre-revenue with relevant local financing data
    Suitable primary approach: Scorecard-style or qualitative comparison against a current baseline

    Required inputs: Current regional and sector baseline, documented company factors, stage match

For pre-revenue companies, the Angel Capital Association’s educational material states that there is no universally accepted analytical methodology. Qualitative frameworks are therefore useful when they impose discipline on judgment, but they do not eliminate judgment.

A scorecard-style method starts with a current valuation baseline for similar companies, then adjusts it according to factors such as team, market opportunity, product, competition, and go-to-market position. The baseline must match the company’s geography and stage, and every weight is an adjustable assumption rather than a natural law.

Revenue multiples become more informative when revenue is meaningful and consistently defined. Compare like with like. Annual recurring revenue, total revenue, bookings, and gross merchandise value are different measures. Growth, margins, retention, and sector conditions may justify an adjustment to the selected baseline.

DCF is a recognized valuation method, but an early startup with unpredictable cash flows may not have inputs robust enough to support it. In that case, the model can become a transformation of speculative forecasts rather than an independent valuation check. Use it only when the cash-flow path is sufficiently predictable and the assumptions can be defended.

Write down why the chosen methods fit, what each requires, and where each is weak. If a required input is missing, replace the method. Do not fabricate a forecast, multiple, or regional baseline to complete a preferred template.

Step 3: Build a current, closely matched comparable set

Construct a dated log of financing transactions that resemble the startup on the factors that actually drive financing value. Sharing a broad industry label is not enough.

For every candidate comparable, record:

  • Company and transaction date
  • Stage at the time of the transaction
  • Sector and business model
  • Geography and target-investor market
  • Growth or operating profile, where known
  • Financing type
  • Currency
  • Whether the figure is pre-money or post-money
  • Source and publication date
  • Known option-pool or convertible-security treatment
  • Reasons for inclusion or exclusion
  • Information limitations

CRV describes useful comparisons as matching industry, stage, geography, and business model, using recent deals. Timing matters because financing conditions can change. Record the actual transaction date rather than relying only on the date an article or database entry was updated.

Use the same valuation basis throughout the primary set. A public company’s trading multiple, a private startup’s priced financing, and an acquisition price answer different questions. A financing valuation allocates ownership around new capital. A public-market value reflects tradable securities and a different disclosure environment. An acquisition price may include control value or strategic considerations. Keep these groups separate if you use them at all.

Currency also needs explicit treatment. Record the original currency, the conversion date, and the exchange-rate source when converting transactions. Otherwise, an apparent valuation difference may partly reflect exchange-rate timing.

Comparable selection creates two recurring biases. Selection bias appears when the set overrepresents visible, prestigious, or convenient transactions instead of close matches. Survivorship bias appears when successful companies are easier to observe than startups that raised on weaker terms, failed to close, or stopped operating. A clean-looking set of announced rounds can therefore describe disclosed winners more than the full fundraising market.

To control those biases, define inclusion criteria before looking at valuation outcomes. Keep excluded transactions in the log with the reason for exclusion. Avoid removing a close comparable merely because its valuation conflicts with the target.

If close transactions are scarce, widen one criterion at a time. You might first widen the transaction window, then geography, then stage. Record each mismatch and reduce the weight placed on the set as it becomes less comparable. Use a separate method more heavily rather than presenting a broad collection as precise evidence.

A current private-financing database, investor data, company announcements, regulatory filings where applicable, and documented term information can all contribute to the log. Database labels still require checking against the underlying transaction because a pre-money figure, post-money figure, round size, and valuation cap are not interchangeable.

There is no universal startup pre-money median that can be inserted safely into every analysis. A useful benchmark must be selected for the company’s stage, sector, geography, business model, financing type, currency, and valuation date. Your comparable set is complete when another person can reproduce the selection and understand every exclusion.

Step 4: Calculate at least two valuation estimates

Calculate one primary estimate and at least one cross-check from a different line of reasoning. Show the formula, benchmark source, benchmark date, and every adjustable assumption.

For a comparable or multiple-based estimate, the worksheet should show:

1. The operating metric or financing baseline being used.

2. Why that metric and benchmark match the startup.

3. Adjustments for material differences such as growth, margins, retention, stage, geography, or market conditions.

4. A sensitivity range around the assumptions.

5. The resulting pre-money estimate.

For a qualitative or scorecard-style estimate, show the baseline separately from the adjustments. Name each factor, its weight, the company’s relative score, and the evidence supporting that score. The result should be reproducible even though the judgments remain debatable.

For a return-based method, disclose the assumed future company value, timing, target return, and expected future dilution. These assumptions can drive the output more strongly than current company performance, so use the result as a directional check unless each input is well supported.

Keep each method in its own worksheet block. Do not average a financing comparable, acquisition value, and asset appraisal as if they measured the same thing. A pre-money financing valuation is the value assigned immediately before an investment, not an expected sale price or an appraisal of the company’s assets.

For each output, calculate a low and high sensitivity case. Change only the assumptions that carry genuine uncertainty, such as a selected multiple or a qualitative adjustment. This makes it possible to see whether the conclusion survives a plausible change in inputs.

The step is complete when at least two estimates can be reproduced from their sources and assumptions. If a method depends on stale benchmarks or unexplained inputs, remove it or mark it as a low-weight directional check. A transparent weak check is more useful than a precise-looking unsupported output.

Step 5: Reconcile the estimates into a defensible range

Reconcile the estimates by explaining why they differ, not by mechanically averaging them. The goal is a low, target, and high case supported by one coherent financing argument.

Start with a bridge table or short written record containing each method’s output, assumptions, benchmark date, strengths, and weaknesses. Then trace material differences to their causes:

  • A comparable set may reflect a different geography, stage, or financing market.
  • A revenue multiple may reward growth while penalizing weak margins or retention.
  • A qualitative method may assign substantial weight to team, product, technology, or market risk.
  • A return-based method may produce a lower result because its assumed return or future dilution is demanding.
  • A DCF may be highly sensitive to forecast cash flows that remain uncertain.
  • One source may report post-money values while another reports pre-money values.

Reject outputs that answer the wrong question. An acquisition value does not become a financing valuation just because both are expressed in currency. Likewise, a SAFE cap should not be pooled uncritically with priced-round pre-money valuations.

Next, assign roles rather than arbitrary mathematical weights. The closest current financing comparables may establish the market anchor. A revenue-based method may test whether operating performance supports that anchor. A qualitative method may explain movement within the range. A return-based method may test whether an investor’s required ownership can fit.

Build three cases:

  • Low case: supportable under conservative assumptions or weaker market conditions.
  • Target case: best supported by the primary method and confirmed by the cross-check.
  • High case: requires stronger assumptions that are still explicit and defensible.

The target should not simply sit at the midpoint. It should reflect the evidence with the strongest match and least assumption sensitivity. Write a short bridge such as: “The comparable set supports the center of the range; stronger growth moves the revenue-based estimate upward, while geography and limited retention history justify keeping the target below the high case.”

If the outputs remain far apart, investigate rather than conceal the disagreement. Check the valuation basis, dates, currency, metric definitions, stage match, and adjustable assumptions. Gather better comparables or widen the final range. This step is complete when a reader can move from each raw output to the selected range without encountering an unexplained jump.

Step 6: Convert each candidate valuation into ownership and dilution

For every candidate pre-money value, calculate post-money valuation, investor ownership, priced-round share price, and the post-round ownership of existing holders. Use the pre-money fully diluted share count for priced-round share-price calculations.

The core equations are:

Post-money valuation = Pre-money valuation + New investment

New-investor ownership = New investment ÷ Post-money valuation

For a priced round:

Price per share = Pre-money valuation ÷ Pre-money fully diluted shares

New investor shares = New investment ÷ Price per share

If an existing holder owns a percentage of the pre-money fully diluted capitalization, a simple priced-round model with no additional changes can calculate post-round ownership as:

Post-round holder ownership = Pre-round holder ownership × (Pre-money valuation ÷ Post-money valuation)

That last expression reflects the percentage of the post-round company still represented by the pre-money capitalization. It only works cleanly when the share-count definitions are consistent and there are no unmodeled option-pool or security conversions.

The scenario should reconcile to 100% on a fully diluted basis. If it does not, check whether the model mixes issued shares with fully diluted shares, omits a security, or uses different definitions of pre-money capitalization.

Worked example: compare two candidate valuations

Assume a priced equity round with the following illustrative inputs:

  • New investment: $2 million
  • Pre-money fully diluted shares: 10 million
  • Founders’ pre-round ownership: 80%
  • Other existing holders’ pre-round ownership: 20%
  • No option-pool increase or convertible-security conversion in this simplified example
  • Candidate pre-money valuations: $8 million and $12 million

The higher pre-money valuation reduces immediate dilution for the same $2 million investment. That is an arithmetic result, not proof that the higher valuation is attainable or strategically better.

Fractional shares appear in the second case because the example carries the formula through without imposing document-specific rounding. Actual issuance and rounding treatment belong in the financing documents and cap-table model.

Account for option pools and convertible securities

Expand the ownership model before relying on its dilution result. Check the option pool, SAFEs, convertible notes, warrants, advisor equity, and every other right to acquire shares.

The review should identify:

  • Current issued and outstanding shares
  • Granted options
  • Unissued option-pool capacity
  • Any proposed option-pool increase
  • SAFEs and their valuation caps, discounts, and capitalization definitions
  • Convertible notes and their principal, accrued interest, caps, and discounts
  • Warrants
  • Advisor or contractor equity commitments
  • Any promised but undocumented grants
  • Other contingent equity rights

An option-pool increase can change the economics without changing the headline pre-money valuation. Carta explains that an increase counted in pre-money shares lowers the priced-round share price and shifts dilution toward existing holders rather than the new investor.

Conceptually, assume the negotiated pre-money value stays fixed while additional option-pool shares are added to the pre-money fully diluted count. Dividing the same pre-money valuation by a larger share count produces a lower price per share. The investor then receives more shares for the same investment, so existing holders retain a smaller percentage.

SAFEs and notes require their own document-based treatment. The model must reflect the actual cap, discount, conversion timing, capitalization definition, accrued interest where applicable, and interaction among multiple instruments. Do not substitute a generic conversion rule.

This step is complete when every potentially dilutive right is either modeled or clearly marked for resolution. Qualified counsel or a cap-table professional should review instrument-specific conversion mechanics when the documents are complex or ambiguous.

Step 7: Stress-test the target and the full financing package

Choose the target that the company can support now and plausibly outperform before another financing. The highest proposed valuation is not automatically the best outcome if it leaves too little capital, creates an unrealistic future benchmark, or comes with unfavorable terms.

Run the low, target, and high cases through a final audit:

  • Assumptions: Every material benchmark, multiple, weight, forecast, and adjustment has a source, date, and rationale.
  • Capital sufficiency: The proposed raise funds the operating plan and the milestones assigned to this round under the documented assumptions.
  • Market support: Current, closely matched transactions support the selected range, with mismatches and exclusions recorded.
  • Immediate dilution: Founder, employee, and other holder ownership is acceptable on a fully diluted basis.
  • Option-pool treatment: Current capacity and any pre-money increase are included in the correct place.
  • Convertible securities: SAFEs, notes, warrants, and other rights have been modeled under their actual terms or escalated for review.
  • Future feasibility: The milestones funded by this round create a plausible basis for the company to exceed today’s valuation before seeking another round.
  • Downside case: A slower operating plan or weaker financing market does not make the capitalization or cash plan immediately unworkable.
  • Complete terms: Preferences, governance provisions, anti-dilution protection, and other economic rights have been reviewed separately.
  • Reconciliation: Ownership totals 100% under each fully diluted scenario.

Runway is part of the valuation decision because the amount raised and valuation jointly determine dilution. A higher valuation with an undersized round may preserve more ownership immediately but fail to fund the milestone needed for the next financing. A larger round may create more dilution now while providing more operating capacity. Compare those cases directly rather than optimizing the valuation in isolation.

The future-financing test is equally important. Ask what operating evidence would need to exist at the next round to justify a higher valuation. Tie that evidence to the product, customer, revenue, hiring, or technical milestones funded now. If the required progress is not plausible under the operating plan, revise the target, raise amount, milestones, or terms.

Your final valuation memo should contain the input date, selected methods, comparable log, raw outputs, reconciliation bridge, target range, ownership scenarios, capitalization assumptions, and unresolved term questions. A case that fails the audit should be rerun after changing the relevant variable, not defended through a stronger narrative.

Review terms beyond the headline valuation

Evaluate the financing package separately from the headline pre-money valuation. Two proposals with the same valuation can produce different economic and control outcomes.

Liquidation preferences determine how proceeds may be distributed in an exit. Governance and protective rights can affect which company actions require investor approval. Anti-dilution provisions can alter conversion economics after certain future financings. Warrants and other equity rights can add dilution that the headline ownership figure does not reveal.

Investor quality and the investment amount also matter. A valuation only describes one part of the exchange. It does not show whether the capital is sufficient, how decisions will be governed, or how proceeds will be allocated under different outcomes.

Preferred-stock rights, convertible-security mechanics, securities requirements, tax treatment, and governance consequences vary with the documents and jurisdiction. Have qualified legal, tax, accounting, and cap-table professionals review those issues before closing.

The valuation decision is complete only when both models are acceptable: the numerical model showing ownership and dilution, and the term review showing the broader economic and control package.
